§ 01The Design-Build consortium as a mega-project lever
The design build consortium facade is, for our atelier, the access lever to mega-projects we could not carry as an isolated mandate. On a mega-project of 200 to 500 M€ envelope value, the financial, capacitive and insurance solidity required of the lead exceeds the size of any isolated facade engineering firm or facade contractor. The facade consortium D&B allows an atelier of our size to access this type of project as a specialist technical member, leaning on the financial solidity of co-members (GC/TC and manufacturers) of the grouping.
§ 02GME, SPV, Partnership legal structures
The JV facade as GME (groupement momentané d'entreprises, French temporary joint venture of companies) is the classic French form, without distinct legal personality; each member commits its own responsibility on its quota share. The SPV project envelope (special purpose vehicle, project company) is the Anglo-Saxon form, distinct legal entity created for the project; responsibilities are mutualised at the SPV level which contracts directly with the owner. The international Partnership varies by jurisdiction: Anglo-Saxon forms (limited liability partnership, joint venture agreement) or European forms per local civil codes. The choice of legal form conditions risk-sharing, project taxation, and the grouping's internal governance.
§ 03Risks we accept and risks we refuse
On a mega project envelope consortium, the risks we accept are those that match our technical perimeter: technical compliance risk on the envelope package (tolerances, performance, durability), coordination risk with the other packages, coordination risk with the industrial manufacturers in the envelope perimeter, schedule risk on the manufacturing-assembly-installation chain. The risks we refuse are those outside our control: global financial risk on the project (carried by the lead or the SPV), commercial risk on the other packages (structure, MEP, fit-out), insurance risk on industrial components we do not master first-hand. This allocation is documented in the responsibility matrix of the grouping contract.
§ 04Phases of structuring a consortium
The structuring of a design build consortium facade follows five phases. Pre-consortium: opportunity identification, selection and qualification of prospective partners, agreement in principle on commercial interest. Mutual diligence: audit of the technical, financial and insurance capacities of each candidate partner. Legal framing: negotiation of the responsibility matrix, choice of legal form (GME, SPV, Partnership), drafting of agreements. Mobilisation: final legal structuring, set-up of internal governance of the consortium, kick-off with mobilised teams. Execution: project conduct per contracted governance through handover and punch-list release.
